PenCom Grants Special Dispensation for Pension Funds to Invest in Dangote Refinery IPO

The National Pension Commission (PenCom) has granted a historic, one-off regulatory waiver allowing Pension Fund Administrators (PFAs) to invest pension assets in the highly anticipated Initial Public Offering (IPO) of the Dangote Petroleum Refinery & Petrochemicals FZE.

In an official circular dated May 13, 2026, PenCom announced that it is suspending standard investment restrictions to clear the path for massive institutional backing of the mega-refinery. Under standard pension laws, fund managers are strictly prohibited from investing in ordinary shares of public or private companies unless the entity boasts a minimum five-year track record of taxable profits and a history of dividend payouts—requirements the newly operational refinery cannot yet fulfill.


Key Highlights of the Regulatory Forbearance

  • The Special Waiver: PenCom granted an exceptional dispensation from Section 6.2.7.1 (iii) of the Revised Regulation on Investment of Pension Fund Assets, effectively waiving the usual existence, profitability, and dividend history requirements.
  • The Rationale: The regulator explained that the decision followed a rigorous evaluation of the refinery’s “strategic economic importance, strong fundamentals, wide-ranging economic benefits, and immense growth potential.” It also took into heavy consideration the stellar corporate track record of its majority shareholder, Dangote Industries Limited.
  • Not a Precedent: The commission explicitly warned that this regulatory forbearance is strictly case-specific to this particular IPO. It is an exceptional, “one-off” ruling that will not serve as an automatic precedent for future public offers or corporate listings.
  • Risk Management: Despite the waiver, PenCom directed all PFAs to remain bound by their fiduciary duties, ensuring that any eventual capital allocation aligns strictly with their internal risk management frameworks and investment policies to protect retirees and contributors.

The $50 Billion IPO Target

The Dangote Refinery is gearing up to offer between 5% to 10% of its equity stake in what is projected to be a pan-African dual listing on both the Nigerian Exchange (NGX) and the London Stock Exchange (LSE). The blockbuster public offering is expected to target a total company valuation of up to $50 billion and feature dollar-denominated dividends, making it the largest capital market transaction in Nigerian history.
